Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Goliath Financials ("we," "us," "our," or the "Company"), governing your access to and use of the website at www.goliathfinancials.com, our mobile applications, and all related services, content, tools, and features (collectively, the "Service").

By creating an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms, guidelines, or rules referenced herein. If you do not agree to these Terms, you must not access or use the Service.

We may update these Terms from time to time, as described in Section 20 below. Your continued use of the Service after any such updates constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years old and have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under the laws of the Republic of Zambia or any other applicable jurisdiction
• Your use of the Service will not violate any applicable law or regulation
• All information you provide to us is truthful, accurate, and complete

If you are using the Service on behalf of an organisation or entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Description of Service

Goliath Financials is a financial data and analytics platform focused on the Lusaka Stock Exchange ("LuSE") and the Zambian securities market. The Service provides users with tools and information to research, analyse, and track investments. The Service includes, but is not limited to:

• Stock market data for companies listed on the Lusaka Stock Exchange, including historical and current share prices, trading volumes, and market capitalisation
• Company profiles with detailed financial information, including income statements, balance sheets, and cash flow statements
• Financial ratio analysis, including profitability, valuation, liquidity, and efficiency metrics
• Portfolio tracking tools that allow you to record and monitor your investments, calculate gains and losses, and view portfolio analytics
• Market overview data, including All Share Index performance, top gainers and losers, and market-wide statistics
• Notification services, including price alerts and portfolio change alerts
• Educational and informational resources related to the Zambian securities market

The specific features and functionalities available to you may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. User Accounts

4.1 Registration

To access certain features of the Service, you must create an account by providing your name, email address, and a password. You agree to:

• Provide accurate, current, and complete information during registration and at all times when using the Service
• Maintain and promptly update your account information to keep it accurate and complete
• Create only one account unless expressly permitted by us

4.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials. You agree to:

• Not share your account credentials with any third party
• Use a strong, unique password for your account
• Notify us immediately at support@goliathfinancials.com if you suspect any unauthorised access to or use of your account
• Accept responsibility for all activities that occur under your account

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4.3 Account Verification

Upon registration, you will receive an email verification link to confirm your email address. You must verify your email before you can fully access the Service. We reserve the right to refuse registration or suspend accounts that we believe have been created with fraudulent or inaccurate information.

5. Subscription Plans and Payment

5.1 Free and Paid Plans

The Service offers both free-tier access and paid subscription plans. Free-tier users may access limited features. Paid subscription plans unlock premium features as described on our pricing page.

5.2 Subscription Pricing

Paid subscriptions are available in the following billing cycles:

• Monthly Plan: ZMW 100 per month
• Annual Plan: ZMW 1,000 per year (approximately 17% savings compared to monthly billing)

Prices are quoted in Zambian Kwacha (ZMW) and are inclusive of any applicable taxes. We reserve the right to change subscription prices at any time. If we change the price of your current plan, we will notify you at least 30 days before the change takes effect. The new price will apply from your next billing cycle following the notice period.

5.3 First-Time Discount

New monthly subscribers may be eligible for a one-time introductory discount of 50% off their first monthly payment (ZMW 50 for the first month). This discount applies only to the first billing cycle of a new monthly subscription and cannot be combined with other promotional offers. This offer does not apply to annual subscriptions.

5.4 Payment Methods

We accept the following payment methods:

• Airtel Money
• MTN MoMo (Mobile Money)
• Bank Transfer
• Bank Deposit

All payments are processed manually. After submitting payment, you must submit proof of payment through the Service. Payment verification is typically completed within 24-48 hours. Your subscription will be activated upon successful verification. If payment cannot be verified, we will notify you and the subscription will not be activated.

5.5 Subscription Activation and Expiry

Subscriptions are activated upon payment verification and run for the duration of the selected billing cycle (30 days for monthly, 365 days for annual). Pending payments that are not verified within 7 days will be automatically expired, and you will need to resubmit payment. A 3-day grace period may be provided after subscription expiry before premium access is revoked.

5.6 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will continue to have access to premium features until the end of your current billing period
• Your subscription will not auto-renew
• No prorated refunds will be issued for unused portions of your subscription period

If you believe you are entitled to a refund due to a billing error or service issue, please contact us at support@goliathfinancials.com within 14 days of the payment. Refund requests will be evaluated on a case-by-case basis.

6. Disclaimer of Investment Advice

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. Nothing contained in the Service constitutes or should be construed as financial advice, investment advice, trading advice, tax advice, legal advice, or any other form of professional advice. The information and tools provided through the Service are not intended to be, and shall not be understood or construed as, a recommendation or solicitation to buy, sell, or hold any particular security or financial instrument.

We are not a licensed financial advisor, broker, dealer, or investment company. We do not provide personalised investment recommendations. The data, analytics, financial ratios, and any other content presented through the Service are general in nature and are not tailored to any individual's specific financial situation, investment objectives, or risk tolerance.

Before making any investment decision, you should:

• Conduct your own independent research and due diligence
• Consult with a qualified and licensed financial advisor, accountant, or other professional
• Consider your own financial situation, investment objectives, and risk tolerance
• Understand that all investments carry inherent risk, including the potential loss of principal

Past performance of any security is not indicative of future results. We expressly disclaim any and all responsibility for any investment decisions you make based on information obtained through the Service.

7. Data Accuracy and Market Data

While we make reasonable efforts to ensure the accuracy and timeliness of the data presented through the Service, we do not warrant, guarantee, or make any representations regarding the completeness, reliability, accuracy, or timeliness of any information, data, content, or materials made available through the Service.

You acknowledge and agree that:

• Market data displayed on the Service may be delayed and may not reflect real-time trading activity on the Lusaka Stock Exchange
• Financial data, including financial statements, ratios, and metrics, is sourced from publicly available information and may contain errors or omissions
• Company profiles, corporate actions, and other informational content may not be current or complete
• Calculations performed by our analytics tools, including portfolio valuations, gain/loss calculations, and financial ratios, are based on available data and may not be perfectly accurate
• We are not responsible for any errors, omissions, or inaccuracies in the data or for any actions taken in reliance on such data

You should always verify any information obtained through the Service with primary sources and official publications from the LuSE, the Securities and Exchange Commission of Zambia, and the relevant listed companies before making any financial decision.

8. Intellectual Property

8.1 Our Intellectual Property

The Service and all of its contents, features, and functionality — including but not limited to all information, software, source code, text, displays, images, video, audio, design, graphics, logos, icons, the selection and arrangement thereof, and the compilation of data — are owned by Goliath Financials, its licensors, or other providers of such material and are protected by international copyright, trademark, trade secret, and other intellectual property or proprietary rights laws.

8.2 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal, non-commercial use only. This licence does not include the right to:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any information, data, software, or services obtained from the Service
• Use the Service or its contents for any commercial purpose without our express written consent
• Use any data mining, robots, scraping, or similar data-gathering or extraction tools on the Service
• Download (other than page caching) any portion of the Service or its contents, except as expressly permitted by us
• Redistribute, resell, or sublicense access to the Service or any data obtained through it

8.3 User Content

You retain ownership of any content you submit, post, or display through the Service (such as portfolio data, feedback, and profile information). By submitting content to the Service, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, store, and display such content solely for the purpose of operating and providing the Service.

8.4 Trademarks

"Goliath Financials," the Goliath Financials logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

9. Prohibited Uses

You agree not to use the Service, or any content obtained from the Service, for any purpose that is prohibited by these Terms or applicable law. Specifically, you shall not:

• Use the Service for any unlawful purpose or to solicit others to perform or participate in unlawful acts
• Violate any applicable national or international law or regulation, including securities laws and regulations of Zambia
• Access, scrape, crawl, or spider any part of the Service, or use any automated means (including bots, scripts, or spiders) to access, collect, or extract data from the Service
• Redistribute, republish, or commercially exploit any data, content, or materials obtained from the Service without our express written consent
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Attempt to gain unauthorised access to the Service, other user accounts, or any computer systems or networks connected to the Service
• Upload or transmit viruses, malware, or any other malicious code
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• Use the Service to send unsolicited or unauthorised advertising, promotional materials, spam, or any other form of solicitation
• Use the Service in any manner that could disable, overburden, damage, or impair the Service
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
• Create multiple accounts for the purpose of abusing promotions, discounts, or free-tier limitations

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

GOLIATH FINANCIALS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS OPPORTUNITIES, INVESTMENT LOSSES, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content, data, or information obtained from the Service
• Investment decisions made based on information provided through the Service
• Unauthorised access, use, or alteration of your transmissions, content, or account
• Any interruption, suspension, or discontinuation of the Service, whether planned or unplanned
• Errors, inaccuracies, or omissions in data, market information, or financial calculations provided through the Service
• Any bugs, viruses, Trojan horses, or similar harmful code that may be transmitted to or through the Service

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ZMW 1,000, WHICHEVER IS LESS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GOLIATH FINANCIALS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY DATA, INFORMATION, OR CONTENT OBTAINED THROUGH THE SERVICE
• WARRANTIES THAT ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED
• WARRANTIES THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

12. Indemnification

You agree to defend, indemnify, and hold harmless Goliath Financials, its directors, officers, employees, agents, partners, contractors, licensors, and affiliates from and against any and all claims, demands, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from or relating to:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any law or the rights of any third party
• Any content you submit or post through the Service
• Investment decisions you make based on information obtained through the Service

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

14. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources, including links to company websites displayed on stock profile pages and external authentication providers. These links are provided for your convenience only. We do not control, endorse, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any third-party websites or services.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us at support@goliathfinancials.com or through your account settings. Upon termination, your right to access the Service will cease immediately. Active subscription benefits will continue until the end of your current billing period, but will not auto-renew.

15.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, in our sole discretion, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, abusive, or otherwise illegal activity
• Non-payment of subscription fees
• Conduct that we determine, in our sole discretion, is harmful to other users, third parties, or the business interests of the Company
• Extended account inactivity

15.3 Effect of Termination

Upon termination of your account, your right to access and use the Service will immediately cease. We may delete your account data in accordance with our Privacy Policy. The following provisions shall survive termination: Sections 6 (Disclaimer of Investment Advice), 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Disclaimer of Warranties), 12 (Indemnification), 17 (Governing Law), and 18 (Dispute Resolution).

16. Service Availability

We strive to ensure the Service is available at all times. However, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Unplanned outages or technical issues
• Factors outside our reasonable control, including internet outages, power failures, natural disasters, or actions by third-party service providers

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Lusaka, Zambia.

18. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, you agree to first attempt to resolve the dispute informally by contacting us at legal@goliathfinancials.com. We will endeavour to resolve the dispute through good-faith negotiation within 30 days.

If the dispute cannot be resolved informally, either party may pursue resolution through the courts of the Republic of Zambia in accordance with Section 17 above.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be so modified, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

20. Changes to These Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Provide at least 30 days' notice before material changes take effect, via email or a prominent notice on the Service
• Post the updated Terms on this page

Your continued use of the Service after any modifications constitute your acceptance of the updated Terms. If you do not agree to the revised Terms, you must cease using the Service and may terminate your account.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Goliath Financials with respect to your use of the Service. These Terms supersede and replace any prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to the subject matter hereof.

22. Waiver

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

23. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent shall be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

24. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause that is beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, epidemics, power outages, internet failures, telecommunications infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
